Terms of Service

These Terms govern your use of the Adina Protocol web interfaces, applications, and related services. By accessing our services, you agree to these Terms and our Privacy Policy.

1. Acceptance of Terms

By accessing or using the website, user interfaces, or hosted services provided by Adina Labs ("Company", "we", "us", "our"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you do not agree, do not access the Service.

If acting on behalf of an entity, you represent and warrant that you have authority to bind that entity to these Terms.

2. Description of Service

Adina Labs provides Web3 software, user interfaces, developer tools, and decentralized applications running on Ethereum Layer 2.

The Service includes:

  • Protocol Interfaces & Infrastructure: Hosted front-ends for smart contract interaction, on chain identity primitives, ZK-attestation routing, and talent graphs.
  • Platform Services: Developer APIs, Adina token ecosystem dashboards, carbon credit marketplace interfaces, and community hubs.
  • Smart Contract Decoupling: You acknowledge that the smart contracts deployed on Ethereum L2 operate autonomously. Adina Labs controls hosted web interfaces but does not control, pause, or reverse autonomous smart contract execution on public blockchains once deployed.

3. User Accounts and Responsibilities

Accessing certain features requires connecting an EVM-compatible Web3 wallet or creating an account. You are responsible for:

  • Securing your wallet, private keys, and seed phrases
  • All activities occurring through your connected wallet address
  • Providing accurate credentials when submitting professional or on-chain verification data

Age Requirement: You must be at least 18 years old (or the legal age of digital majority in your jurisdiction) to use this Service.

4. Acceptable Use Policy

You agree not to use the Service to:

  • Violate applicable regional or international laws, including sanctions regulations, securities rules, or anti-money laundering requirements
  • Deploy malicious code, smart contract exploits, or perform front running/wash trading
  • Attempt unauthorized access to hosted server systems or API infrastructure
  • Submit fraudulent attestations, fake resumes, or misrepresent on-chain identities
  • Use automated scrapers or bots without written authorization

Violations may result in front-end access restriction, API termination, and legal referral.

5. Intellectual Property Rights

Copyright and Asset Ownership: Adina Labs retains full, exclusive copyright and proprietary ownership over all web pages, original graphic designs, user interface elements, visual artwork, trade dress, and custom illustrations across the Service - including, without limitation, the proprietary solar system diagrammatic and associated architectural visualizations.

Except for explicit rights or open-source software licenses expressly granted herein, no title, copyright, or intellectual property rights in or to the website pages or visual assets are transferred to you. You may not copy, reproduce, modify, redistribute, mirror, or create derivative works of any web pages or proprietary diagrams without the prior written authorization of Adina Labs.

Hosted interfaces, UI/UX designs, branding, logos, graphics, and proprietary software code remain the property of Adina Labs and its licensors.

Open-Source & Smart Contracts: Smart contract components made available under open- source licenses (e.g., MIT, Apache) are governed by their respective software licenses.

User Content: You retain ownership of content submitted to the platform. By submitting content, you grant us a worldwide, non-exclusive, royalty-free license to host, display, and perform the content solely as required to operate the platform. On-chain submissions are public and permanent.

6. Privacy and Data

Data processing is governed by our Privacy Policy. We implement technical and organizational safeguards across major global jurisdictions including GDPR, CCPA/CPRA, APPs, and DPDP Act frameworks.

7. Web3, Tokens, and Blockchain Risk Acknowledgment

  • Self-Custody: Non-custodial features (including the Adina Labs Wallet) leave seed phrase and key retention entirely in your control. Adina Labs cannot recover lost keys or reverse transactions.
  • Transaction Finality: On-chain transactions are final and non-refundable. You are responsible for network gas fees and verification of contract addresses prior to signing.
  • Adina Token Utility: Adina is an operational utility and governance token intended for platform access, fee settlement, and community voting within the ecosystem. It does not represent equity, debt, or an investment contract.
  • Protocol Security: Smart contracts operate as-is. While subjected to security audits, software carries inherent risk. Adina Labs is not liable for blockchain reorganizations, oracle failures, or network downtime.

8. Payment & Subscription Terms

Fees for platform services or API access may be paid via fiat or supported tokens (including Adina). All fees are exclusive of applicable taxes. Cryptocurrency payments are subject to network execution costs and are non-refundable once confirmed on chain. Subscription fee modifications will be provided with 30 days' advance notice.

9. Service Availability & Modifications

We strive for operational uptime of our web interfaces, but do not guarantee continuous access due to maintenance, cloud server disruptions, or network congestion. We reserve the right to modify or discontinue hosted UI tools with reasonable notice where feasible.

Because this Service is non-custodial, any interruption or discontinuation of our hosted tools does not affect your access to the ADINA Token, your wallet, or the underlying blockchain, which operate independently of us.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ADINA LABS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, INCLUDING LOSS OF DATA, PROFITS, CRYPTOGRAPHIC ASSETS, OR DIGITAL TOKENS.

OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) FEES PAID BY YOU TO ADINA LABS IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) USD $100.

Consumer Protection Override: Nothing in these Terms excludes or limits non-waivable statutory rights under local legislation (including consumer guarantees under the Australian Consumer Law or EU Consumer Protection laws).

11. Indemnification

You agree to indemnify and hold harmless Adina Labs, its affiliates, officers, directors, and employees from any third-party claims, liabilities, damages, or costs (including legal fees) arising from your breach of these Terms, misuse of hosted services, or violation of applicable laws.

12. Termination

You may cease using the Service at any time. Adina Labs reserves the right to restrict front-end interface access or revoke API keys immediately upon material breach of these Terms. Sections surviving termination include Intellectual Property, Blockchain Risk Acknowledgment, Limitation of Liability, and Dispute Resolution.

13. Governing Law and Dispute Resolution

  • Governing Law: These Terms are governed by the laws of Delaware, USA, without regard to conflict of law principles.
  • Mandatory Informal Resolution: Parties agree to attempt informal resolution via legal contact prior to formal proceedings.
  • Arbitration & Consumer Savings Clause: Unresolved disputes shall be settled via binding arbitration. Note: Residents of the European Union, United Kingdom, or Australia retain access to their mandatory local consumer protection forums and local supervisory courts as required by local law.
